These Terms of Use ("Terms") govern your use of carbonchemistry.com (the "Site"), which is operated by Carbon Chemistry Ltd. ("Carbon Chemistry," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. The Site is information, not an offer
The Site describes our storage, fulfillment, packing and related services. Site content and quote responses are for information only. They are not a binding offer. Services are provided only under a written quote accepted by both parties, or a written service agreement (an "Agreement"). If these Terms conflict with an Agreement, the Agreement controls for those services.
2. Acceptable use
Do not: (a) break the law or infringe anyone's rights using the Site; (b) try to gain unauthorized access to the Site, our systems or other accounts; (c) interfere with the Site, including by scraping, overloading or introducing malicious code; (d) submit false information or information you have no right to share.
3. Our content and marks
The Site and its content, including text, graphics, logos and code, belong to Carbon Chemistry or its licensors. "Carbon Chemistry" and our logos are our marks. You may view and print Site pages for your internal business use. You may not otherwise copy, modify or use our content or marks without our prior written consent.
Third-party names and marks belong to their owners. Their appearance on the Site does not imply endorsement.
4. What you send us
When you send us information, for example in a quote request, you confirm you have the right to share it. We will handle it as described in our Privacy Policy. Do not send confidential information through the Site unless a written confidentiality agreement covers it.
5. Third-party sites and services
The Site may link to or use third-party services (for example hosting providers). We are not responsible for their content or practices.
6. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not promise that the Site will be uninterrupted, error-free or secure. Technical, product, capacity or regulatory information on the Site is general. It is not professional advice and is not a warranty.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING FROM THE SITE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR USE OF THE SITE IN THE 12 MONTHS BEFORE THE CLAIM (IF ANY) OR US$100. This section does not limit liability under a signed Agreement; that Agreement's own terms govern it.
8. Indemnity
You will defend and indemnify Carbon Chemistry against third-party claims arising from your breach of these Terms or your misuse of the Site, and Carbon Chemistry will defend and indemnify you against third-party claims arising from its breach of these Terms.
9. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules.
Disputes will be heard in the courts of Colorado. The prevailing party may recover reasonable attorney fees and costs. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
10. Changes and termination
We may change these Terms by posting an updated version with a new effective date. We may suspend or end access to the Site at any time.
11. General
These Terms, together with the Privacy Policy and any Agreement, are the entire agreement about the Site. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. Any modification of an Agreement must be agreed to in writing by both parties.
